1. Preamble and Definitions

These Terms and Conditions ("T&Cs") govern all services rendered by Fitline Carpentry ("Fitline", "we", "us", or "our") to any client ("Client" or "you"). They apply to all quotations, work orders, purchase orders, and service agreements, whether written or verbal, and are incorporated by reference into every quote issued by Fitline.

These T&Cs are governed by the laws of the Republic of South Africa. The following legislation, among others, applies to Fitline's operations and the Client's rights:

Where any provision of these T&Cs is inconsistent with the CPA or any other mandatory legislation, that legislation shall prevail to the extent of the inconsistency.

3. Quote Validity and Acceptance

3.1 All Quotes issued by Fitline are valid for 30 (thirty) calendar days from the date of issue, unless otherwise stated in writing on the face of the Quote. After this period, Fitline reserves the right to revise pricing in accordance with any material or labour cost changes.

3.2 A Quote is deemed accepted, and a binding contract formed, when any of the following occur:

3.3 No verbal acceptance shall be binding. All changes to an accepted Quote must be confirmed in writing by both parties.

3.4 Fitline's Quotes are based on information and measurements provided at the time of quoting. If site conditions, dimensions, or specifications differ from those on which the Quote was based, Fitline may issue a revised Quote and no work will proceed until the revised Quote is accepted.

3.5 Final measurements and a site survey may be conducted by Fitline after the deposit is received and before manufacturing commences. Any resulting dimension adjustments that fall within reasonable tolerances are included. Material specification changes requested after manufacture has commenced will be treated as Variations and invoiced accordingly.

3.6 Drawings, designs, and plans prepared by Fitline remain the intellectual property of Fitline (see Section 13). If a layout drawing is submitted to the Client and no objection is received in writing within 48 hours of submission, the Client is deemed to have approved the layout.

4. Payment Terms

4.1 Payment Schedule

Unless otherwise agreed in writing, the following payment milestones apply to all Projects:

For projects valued below R10,000 (ten thousand rand), a 90% deposit and 10% upon Practical Completion may apply at Fitline's discretion.

4.2 The deposit must be received and cleared before Fitline will schedule the Project, order materials, or commence manufacturing. Proof of payment must be sent to Fitline's accounts contact within 24 hours of payment.

4.3 The final payment (30%) is due within 7 (seven) calendar days of Practical Completion or the date on which the Client is notified of completion, whichever is earlier. Should payment not be received within this period, interest at the prime lending rate plus 3% per annum will accrue from the due date until the date of payment in full.

4.4 No retention or penalty amounts will be recognised or deducted from any payment instalment unless specifically agreed to in writing by Fitline prior to the acceptance of the Quote.

4.5 All amounts quoted and invoiced are exclusive of value-added tax (VAT) unless explicitly stated otherwise. VAT, where applicable, will be added at the prevailing rate.

4.7 Ownership of Goods

All materials, components, and manufactured units supplied by Fitline remain the sole property of Fitline until the full contract price has been paid. In the event of non-payment, Fitline is entitled to recover and remove such goods, regardless of whether they have been installed or affixed to the Client's premises, subject to applicable CPA rights.

Fitline reserves the right to suspend or halt work on any Project where a payment instalment is more than 7 (seven) calendar days overdue. Recommencement of work following a payment default will be subject to a revised schedule and any additional costs incurred during the suspension.

5. Variations and Additional Work

5.1 Any work requested by the Client that falls outside the agreed scope of the Quote will be documented by Fitline in a written Variation Order. No Variation will be executed without the Client's written acceptance and, where applicable, an additional deposit.

5.2 Variations include, but are not limited to: changes to dimensions, materials, finishes, or design after Quote acceptance; scope additions not reflected in the original Quote; site conditions that require unforeseen structural modifications; and any additional items or services requested during the build.

5.3 Variation Orders will be invoiced at Fitline's prevailing rates at the time of the Variation, which may differ from rates applied in the original Quote.

5.4 Verbal instructions for variations will not be acted upon or accepted. All variation requests must be submitted and confirmed in writing.

6. Project Timelines and Scheduling

6.1 Project start dates are confirmed by Fitline only after receipt and clearance of the deposit payment. Timelines provided in the Quote are estimates and may be affected by material lead times, site readiness, subcontractor scheduling, and events beyond Fitline's control.

6.2 Where the Client's site is not ready for Fitline to commence work on the agreed start date, and this delay exceeds 5 (five) working days, Fitline reserves the right to reschedule the Project and may charge a reasonable re-scheduling fee to cover any costs incurred.

6.3 Should the site commencement date be deferred by more than 30 (thirty) days from the date on which the Quote was accepted, Fitline reserves the right to revise material prices in line with any supplier price increases received during that period.

6.4 Fitline will provide the Client with reasonable progress updates during the Project. The Client undertakes to respond promptly to any queries or decisions required from them to avoid delays.

7. Materials, Natural Products and Workmanship

7.1 Materials Standards

Fitline uses quality-certified materials sourced from reputable South African and international suppliers. Material specifications are detailed in each Quote. Where the Client requests specific materials, grades, or finishes not recommended by Fitline, the Client accepts full responsibility for the suitability and performance of those materials.

7.2 Natural Timber Products

Wood is a natural product that responds to changes in temperature, humidity, and environment. The following characteristics are inherent to wood and do not constitute defects:

Clients who require colour or grain uniformity are advised to specify this requirement in writing and consider engineered or veneered products instead of solid timber. Fitline will not issue credits or undertake replacements for natural characteristics described above.

7.3 Engineered Boards and Man-Made Materials

Board materials (e.g. melamine, MDF, chipboard) and wrapped/foil doors may exhibit minor colour variation, particularly between items manufactured or sourced in different batches. Fitline will not be liable for colour differences in foil-wrapped or DUCO-finished items ordered at different times or manufactured in separate production runs.

7.4 Granite, Quartz, and Stone Products

Granite is a natural porous stone. Colour and veining variations are natural and expected. Liquids (especially oils and red wine) may cause staining if not wiped up promptly. Fitline recommends periodic application of a penetrating sealer. Quartz is an engineered product requiring minimal maintenance; avoid highly alkaline cleaners and solvents containing trichloroethane or methylene chloride.

7.5 Workmanship Standards

All carpentry and installation work performed by Fitline will be carried out by qualified artisans in accordance with sound trade practice and, where applicable, the National Building Regulations. Fitline conducts quality inspections at key project milestones and will restore the site to a neat condition upon completion.

8. Client Responsibilities

The Client is responsible for the following, and Fitline will not be liable for delays, additional costs, or defects arising from non-compliance:

9. Warranties and Guarantees

9.1 Workmanship Warranty

Fitline provides a 12-month workmanship warranty on all carpentry and installation work, commencing on the date of Practical Completion. This warranty covers defects arising from faulty workmanship or installation, and entitles the Client to repair or correction at no charge, at Fitline's election.

9.2 Material Warranties

Manufacturer warranties on materials and hardware are passed through to the Client and are subject to the terms of each manufacturer. Common warranty periods include:

Fitline will assist the Client in lodging warranty claims with manufacturers but cannot be held liable for manufacturer deficiencies or refusals.

9.3 Warranty Exclusions

The workmanship warranty does not cover:

9.4 Warranties are only valid once the full contract price, including all Variation invoices, has been paid. Fitline reserves the right to suspend warranty obligations while any amount remains outstanding.

10. Cancellation and Refund Policy

10.1 The Client may cancel an accepted Quote by written notice to Fitline. Cancellation fees apply as follows:

10.2 If Fitline cancels the Project due to no fault of the Client (e.g. unforeseen business closure), the Client will be refunded the deposit in full within 14 (fourteen) business days, subject to deduction of any costs already incurred on the Client's behalf.

Clients who qualify as consumers under the CPA should note their additional cancellation rights under Sections 16 and 17 of the CPA regarding unsolicited goods and direct marketing, and Section 56 regarding implied warranties.

11. Use of Subcontractors

11.1 Fitline may engage vetted subcontractors to carry out specialised aspects of the Project, including but not limited to: electrical work, plumbing, tiling, plastering, stonemason or countertop fabrication, and glazing.

11.2 Fitline remains responsible for the co-ordination and quality oversight of all subcontractors engaged on a Project. Warranties and guarantees provided by subcontractors are passed through to the Client to the extent applicable.

11.3 Fitline does not accept liability for delays or defects caused by third-party subcontractors engaged directly by the Client outside of Fitline's agreed scope.

12. Limitation of Liability

12.1 Fitline's total liability to the Client arising from any Project (whether in contract, delict, or otherwise) is limited to the total contract price paid by the Client for that specific Project.

12.2 Fitline is not liable for:

12.3 Where Fitline is required to carry out work adjacent to or above existing tiles, flooring, or fragile surfaces, Fitline will exercise reasonable care but cannot guarantee that incidental damage to such surfaces will not occur. The Client accepts this risk unless alternative protection is specifically agreed in writing.

12.4 Fitline maintains Public Liability Insurance. Certificates of insurance are available on request.

13. Intellectual Property and Copyright

13.1 All drawings, designs, plans, 3D renders, sketches, and technical specifications prepared by Fitline remain the sole intellectual property of Fitline, regardless of whether a Project proceeds to completion. These documents may not be reproduced, shared with third parties, or used for construction by any other contractor without Fitline's prior written consent.

13.2 The Client grants Fitline a non-exclusive licence to photograph completed Projects for use in Fitline's portfolio, website, social media, and marketing materials, unless the Client objects in writing at the time of project sign-off. No personally identifiable information will be shared without consent.

14. Force Majeure

Fitline shall not be liable for any delay in performance or failure to perform any obligation where such delay or failure is caused by circumstances beyond Fitline's reasonable control, including but not limited to: acts of God, fire, flood, extreme weather events, load-shedding and power failures, supplier delays, strikes or labour unrest, pandemic or epidemic events, civil commotion, or acts of government. In such events, Fitline will notify the Client as soon as reasonably practicable and the parties will agree a revised timeline.

15. Fitline Care Plan – Terms and Conditions

The Fitline Care Plan is an optional post-completion maintenance and support service designed to protect your investment and extend the life of your Fitline installation. The Care Plan is also available to customers whose installations were not originally completed by Fitline.

15.1 Plan Options

The Fitline Care Plan is offered by Fitline Carpentry as a prepaid maintenance subscription. By purchasing a Care Plan, the subscriber agrees to the terms in this Section 15 and the General Provisions in Section 18.

15.1.1 Annual Care Plan. Price: R7,499 per annum. Provides 24 hours of scheduled on-site maintenance labour, valid for 12 months from the date of activation.

15.1.2 6-Month Care Plan. Price: R4,199 per 6-month period. Provides 12 hours of scheduled on-site maintenance labour, valid for 6 months from the date of activation.

15.1.3 Top-Up Hours. Additional hours may be purchased by active subscribers at R700 per 2-hour block. Top-up hours are available in 2-hour blocks only — single-hour top-ups are not available. Top-up hours are added to the subscriber's plan on the same business day that payment is received and are subject to the same terms as the active plan (see clause 15.8 for validity).

15.2 Payment

15.2.1 All Care Plan payments are due in full and in advance via EFT to Fitline Carpentry's designated bank account, credit/debit card, PayShap, or Payment Link.

15.2.2 Plan activation occurs on the same business day that payment reflects in full in Fitline Carpentry's bank account.

15.2.3 Care Plan fees are non-refundable once activated.

15.2.4 Fitline Carpentry reserves the right to adjust plan pricing at renewal. Subscribers will be notified of any price changes no less than 30 days before their renewal date.

15.3 Eligibility

15.4 Scope of Service

15.4.1 Included. The Care Plan covers on-site maintenance labour and maintenance consumables only. Maintenance consumables include screws, nails, sandpaper, lubricant, grease, and oil for hinges and runners. Covered maintenance tasks include but are not limited to:

Any materials required during a maintenance session are for the Client's account and will be quoted and invoiced separately before work proceeds. Any work requested beyond the scope defined in clause 15.4.1 will be quoted separately at Fitline Carpentry's standard rates and is not covered by the Care Plan.

15.5 Booking

15.5.1 All Care Plan sessions must be booked in advance with a minimum of 48 hours' notice.

15.5.2 Bookings are subject to availability and are confirmed by Fitline Carpentry via phone call, WhatsApp, or email.

15.5.3 A booking is only confirmed once Fitline Carpentry has acknowledged the request in writing (WhatsApp or email).

15.5.4 Fitline Carpentry reserves the right to reschedule a confirmed booking with reasonable notice in the event of unforeseen circumstances.

15.6 Travel

15.6.1 Travel to and from the Client's property is included in the Care Plan for locations within 30km of Linksfield, Johannesburg.

15.6.2 For locations beyond 30km from Linksfield, a travel surcharge of R150 per visit applies. This surcharge will be confirmed at time of booking and invoiced separately.

15.7 Minimum Booking Unit and Hour Usage

15.7.1 The minimum session duration is 2 (two) hours. Sessions of less than 2 hours on site will be billed as 2 hours and deducted from the subscriber's plan balance accordingly.

15.7.2 Once booked hours are consumed during a session, additional time will be deducted from the subscriber's remaining plan balance. If no balance remains, additional time will be quoted and invoiced at Fitline Carpentry's standard hourly rate.

15.8 Hour Validity and Rollover

15.8.1 Annual Care Plan: All 24 hours are valid for 12 months from the activation date. Hours may be used in any combination of sessions within the validity period.

15.8.2 6-Month Care Plan: All 12 hours are valid for 6 months from the activation date. Hours may be used in any combination of sessions within the validity period.

15.8.3 Hours not used within the validity period are forfeited with no refund or credit.

15.8.4 Top-up hours are subject to the same validity period as the active plan to which they are added and will expire at the same time as the plan. Where the remaining validity period is less than 30 days at the time of top-up purchase, the validity of the top-up hours will be extended by 30 days from the date of purchase.

15.9 Session Cancellation Policy

15.9.1 Cancellations made more than 24 hours before a confirmed booking: no penalty. Booked hours are returned to the subscriber's plan in full.

15.9.2 Cancellations made within 24 hours of a confirmed booking: 1 (one) hour will be deducted from the subscriber's plan.

15.9.3 Cancellations made within 12 hours of a confirmed booking: hours falling within the next business day will be deducted from the subscriber's plan, subject to a minimum deduction of 2 hours and a maximum deduction of 8 hours.

15.9.4 Fitline Carpentry reserves the right to waive cancellation penalties at its sole discretion in exceptional circumstances.

15.10 Renewal and Loyalty Discount

15.10.1 At the end of a plan's validity period, subscribers may renew at the current plan rate.

15.10.2 Subscribers who renew an Annual Care Plan with unused hours remaining will receive a renewal discount calculated as a percentage equivalent to the proportion of hours unused, capped at 50%.

Example: A subscriber with 6 hours unused out of 24 has used 75% of their plan. The unused proportion is 25%, entitling them to a 25% discount on renewal. Renewal price: R7,499 × 75% = R5,624.

15.10.3 The renewal loyalty discount applies to Annual Care Plan renewals only. It does not apply to 6-Month Plan renewals or top-up purchases, and cannot be combined with any other promotional offer or discount.

15.11 Transferability

Care Plan subscriptions are non-transferable and are registered to the subscribing Client and property address only. Care Plan hours may not be gifted, sold, or transferred to any third party.

15.12 Liability Under the Care Plan

15.12.1 Fitline Carpentry will perform all maintenance work with reasonable care and skill.

15.12.2 Fitline Carpentry's total liability under the Care Plan is limited to the value of the Care Plan subscription purchased, in accordance with the general limitation in Section 12.

15.12.3 Fitline Carpentry is not liable for any pre-existing damage, wear, or defects discovered during a maintenance session that fall outside the scope of maintenance work defined in clause 15.4.1.

15.12.4 Where replacement materials are required and authorised by the Client, Fitline Carpentry does not warrant the materials themselves beyond the manufacturer's warranty.

15.13 Availability and Capacity

Care Plan subscriptions are offered subject to capacity. Fitline Carpentry reserves the right to limit the number of active subscribers at any time. Prospective subscribers will be placed on a waitlist and notified when capacity becomes available.

15.14 Amendments to Care Plan Terms

Fitline Carpentry reserves the right to amend the Care Plan terms at any time. Existing subscribers will be notified of material changes no less than 30 days in advance. Continued use of the Care Plan after notification of changes constitutes acceptance of the updated terms.

16. Dispute Resolution

16.1 Both parties commit to resolving disputes in good faith before resorting to formal proceedings.

16.2 The dispute resolution process is as follows:

16.3 The Client acknowledges that all attorney's fees or legal costs arising from the enforcement of Fitline's rights under these T&Cs, where Fitline is the successful party, may be claimed from the Client on the attorney-and-own-client scale.

17. Privacy and Personal Information

17.1 Fitline processes personal information in compliance with POPIA. Personal information collected in the course of providing services is used solely for project delivery, invoicing, warranty management, and Care Plan administration.

17.2 Fitline will not sell or share personal information with third parties for marketing purposes without the Client's explicit consent. Subcontractors engaged on a Project may receive limited Client contact and site information necessary for their scope of work.

17.3 The Client has the right to access, correct, or request the deletion of their personal information by contacting Fitline's Information Officer at the contact details on our website.

18. General Provisions

18.1 Entire Agreement. These T&Cs, together with the accepted Quote and any written Variation Orders, constitute the entire agreement between the parties and supersede all prior discussions, representations, or understandings.

18.2 Amendments. No amendment to these T&Cs is valid unless made in writing and signed by an authorised representative of Fitline. Fitline may update these T&Cs from time to time; the version published on the Fitline website at the date of Quote acceptance applies to that engagement.

18.3 Severability. If any provision of these T&Cs is found to be unlawful, void, or unenforceable, the remaining provisions shall remain in full force and effect.

18.4 Waiver. No failure or delay by either party to exercise any right shall constitute a waiver of that right.

18.5 Domicilium. Each party chooses as their domicilium citandi et executandi the address specified on the Quote. Notices must be delivered in writing and are deemed received on the next business day after email transmission or 3 (three) business days after postal delivery.

18.6 Governing Law. These T&Cs are governed by and shall be construed in accordance with the laws of the Republic of South Africa.
